Terms & Conditions — Al Topaz Real Estate

1. Acceptance
These Terms & Conditions (“Terms”) govern your access to and use of the Al Topaz Real Estate platform at sales.altopaz.sa and related applications and services (the “Platform”), operated by Al Topaz Real Estate (“Al Topaz”, “we”, “us”), CR No. [CR NUMBER], Kingdom of Saudi Arabia. By registering for or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.
2. Definitions
- User — any person who accesses the Platform.
- Buyer — a user browsing or transacting to purchase a unit.
- Owner / Union Member — an owner of a unit registered with the owners’ union features.
- Marketer / Broker — a licensed real-estate marketer using the Platform to promote units and refer customers.
- Investor — a user with an investment relationship recorded on the Platform.
- Unit — a real-estate property or portion thereof listed on the Platform.
3. Eligibility and accounts
You must be 18 or older and legally capable of entering into binding agreements. You agree to provide accurate, current, and complete information, to keep your login credentials (PIN / one-time passwords) confidential, and to be responsible for all activity under your account. Marketers must hold and maintain a valid FAL real-estate brokerage licence and provide it for verification. We may refuse, suspend, or terminate accounts that breach these Terms or applicable law.
4. The Platform and roles
The Platform enables browsing of real-estate projects and units, submission of enquiries, reservation and booking requests, offers, installment-plan requests, marketer referral and share-link tools, owners’-union services (dues, maintenance, complaints, documents), and investor and staff functions. Availability of features depends on your user type and account status.
5. Listings and accuracy of information
Property information (prices, availability, areas, images, plans, and specifications) is provided for general guidance and may change without notice. While we take reasonable care, we do not warrant that all information is accurate, complete, or current, and it does not constitute a binding offer. You should independently verify any information before relying on it.
6. Bookings, reservations, offers, and installment plans
- A booking or reservation request submitted through the Platform is a request only and does not create a binding sale. A transaction is binding only when confirmed and approved through the applicable process (including any required approvals) and documented in a signed agreement.
- Where an installment plan is offered for an under-construction project, the total price includes an applicable surcharge (currently 10% over the reference price), and the plan is subject to internal approval (booking employee, marketing manager, and executive approval) before it becomes effective. Reservation of a unit during the approval process does not guarantee final approval.
- We may cancel or refuse any request that is fraudulent, erroneous, or non-compliant.
7. Marketers and commissions
Marketers act as independent parties and are responsible for their own compliance with real-estate regulations. Commission entitlements, rates, and payment are governed by the applicable arrangement between Al Topaz and the marketer and the Platform’s recorded rules, and are subject to verification and approval. Al Topaz is not a party to any separate agreement between a marketer and a customer.
8. Payments, installments, and fees
Payments, deposits, installment schedules, and any fees are handled through the processes and providers indicated on the Platform. You are responsible for the accuracy of payment information and proofs you submit. Amounts are in Saudi Riyals (SAR) unless stated otherwise. Refunds, cancellations, and any penalties are governed by the applicable agreement and law.
9. User content and uploads
You retain ownership of content you upload (e.g. documents, images, payment proofs) and grant Al Topaz a licence to store, process, and use it to provide the services. You represent that you have the right to upload such content, that it is accurate, and that it does not infringe any third-party rights or law. We may scan, remove, or refuse content that is unlawful, harmful, or non-compliant.
10. Acceptable use
You agree not to: use the Platform for unlawful purposes; misrepresent your identity or a unit; submit false, fraudulent, or misleading information; attempt to access data or accounts not belonging to you; interfere with, probe, or disrupt the Platform’s security or infrastructure; scrape or harvest data at scale; upload malware; or use the Platform to infringe others’ rights.
11. Intellectual property
The Platform, its software, design, trademarks (including “Al Topaz” / “التوباز العقارية”), and content are owned by or licensed to Al Topaz and are protected by law. You may not copy, modify, distribute, or create derivative works except as expressly permitted.
12. Third-party services
The Platform may rely on or link to third-party services (e.g. SMS, hosting, mapping, payment, verification). We are not responsible for third-party services, and their use may be subject to their own terms.
13. Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including as to accuracy, availability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation.
14. Limitation of liability
To the maximum extent permitted by applicable law, Al Topaz and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Platform. Nothing in these Terms limits liability that cannot be limited by law.
15. Indemnification
You agree to indemnify and hold harmless Al Topaz against claims, losses, and expenses arising from your breach of these Terms, your content, or your misuse of the Platform.
16. Suspension and termination
We may suspend or terminate your access at any time for breach of these Terms, suspected fraud, legal requirement, or risk to the Platform or other users. You may close your account (subject to any pending obligations). Provisions that by their nature should survive termination will survive.
17. Governing law and dispute resolution
These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia. Any dispute shall be subject to the jurisdiction of the competent courts / authorities of the Kingdom of Saudi Arabia [or specify arbitration if preferred].
18. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Platform, and the “Last updated” date will change. Continued use after an update constitutes acceptance.
